1.These terms
These terms are an agreement between Safyah Solutions ("we", "us") and you, for your use of Safyah Rewards Merchant and the business features of Safyah Rewards (the "Service"). If you set up a business, you accept them for that business and confirm you are authorised to do so. If you join a business's team, you accept them for your own use of the Service.
Our Merchant Privacy Policy explains how we handle your information. Your customers use Safyah Rewards under the customer terms.
2.Accounts and your team
- You must be at least 18 and able to enter a binding contract.
- Each person uses their own account. Sign-in is by emailed code, Google or Apple; keep those secure.
- Roles. The person who creates a business is its owner. The owner can invite managers and staff, change their roles and remove them. Managers can invite and remove staff and make corrections; staff can scan, award points and confirm rewards.
- You are responsible for your team. Everything done under your business by people you invite is treated as done by your business. Remove people who no longer work for you, and keep invite codes private: anyone holding a valid code can join until it expires.
3.Plans and billing
Setting up a business needs a paid plan. We currently offer Basic and Growth; their limits are shown in the app before you subscribe and on our pricing section.
- Payment. Subscriptions are bought and billed through the Apple App Store or Google Play, at the price the store shows you, including any taxes it collects. The store's terms govern payment, renewal and refunds, and we don't see your card details.
- Renewal and cancellation. Plans renew automatically until you cancel in your App Store or Google Play account settings. Cancelling stops the next renewal; the plan stays active until the end of the period you've paid for.
- Who pays. A business runs on its owner's plan. Managers and staff don't need one.
- Limits. Plan limits are checked when you add something (a business, location, programme, reward or team member). If you move to a smaller plan or your plan lapses, nothing is deleted: what you already have keeps working, and you can't add more beyond the smaller plan's limits. While a plan has lapsed, customers can still earn and redeem at your business, and the owner is asked to subscribe again.
- Price changes. We may change prices or plan features. The store will tell you about a price increase before it applies to you, and you can cancel before it does.
4.Your programme and your customers
You run your loyalty programme; we provide the tools. You decide how points are earned, what rewards cost, whether points expire and any cap on balances. Points are worked out by our servers from the rules you set. You agree to:
- describe your programme and rewards honestly, including any conditions;
- honour rewards that customers redeem and your staff confirm, and decline a request you can't honour rather than confirming it;
- award points only for genuine purchases or visits, and never to yourself, your staff or accounts you control in ways your customers couldn't;
- give customers fair notice before changes that reduce the value of their points. Changes to expiry apply to existing balances;
- follow the consumer protection, advertising, tax and other laws that apply to your programme where you trade.
Your programme is an offer from your business to your customers. We are not a party to it and are not responsible for providing rewards or for disputes between you and your customers, though we may help. Points have no cash value, and you must not sell them or present them as money or a stored-value product.
5.Your business listing
A business needs at least one mapped location before it can go live. Once it is live, your business name, logo, cover image, category, description, contact details, locations and active programmes are shown publicly to Safyah Rewards users, including on the Nearby map.
You confirm you have the rights to everything you upload and that it is accurate and lawful. You keep ownership of it and give us a non-exclusive, worldwide, royalty-free licence to host, display and adapt it (for example, resizing a logo) to run and promote the Service while your business is on Safyah Rewards. We may remove content that breaks these terms.
6.Customer information
Through the Service you can see information about customers who join your programme: their name, email address (partly hidden for staff), card history at your business and, if they turned on counter check-in, when they are at your counter. You agree to:
- use it only to run your loyalty programme and serve those customers;
- not copy it out of the Service to build marketing lists, sell it or share it, unless the customer has separately agreed and the law allows it;
- keep it confidential within your team and follow the privacy laws that apply to you;
- tell us promptly if you believe it has been misused.
When a customer deletes their account, their records at your business remain but are anonymised.
7.Counter check-in
Your phone or tablet can broadcast a counter signal so customers who opted in appear in "Here now". Broadcast only at your own premises. A check-in shows that a customer is nearby; it is not proof of a purchase, and points should be awarded only for genuine visits or purchases.
8.Acceptable use
You agree not to:
- use the Service for anything unlawful, deceptive or harmful, or to offer illegal or age-restricted rewards to people not allowed to receive them;
- interfere with the Service, probe it for weaknesses, scrape it or access it by automated means other than our apps;
- reverse engineer the apps, except where the law allows it;
- resell or sublicense the Service, or use it to build a competing product.
9.The Service
We may improve, change or remove features over time. We aim to keep the Service available but don't guarantee it will be uninterrupted, and planned maintenance or events outside our control may affect it. If we stop offering the Service altogether, we will give you reasonable notice. The apps, website and our branding belong to Safyah Solutions.
10.Ending these terms
You can cancel your plan in your store account and delete your account in the app under Account → Delete account. Deleting your account permanently deletes every business you own, with its programmes, rewards, locations, team and all of its customers' cards and points there. The app lists those businesses and asks you to confirm first. Let your customers know before you close a programme.
We may suspend or close an account or business that breaks these terms, harms customers, or puts the Service at risk, and we will tell you why unless the law or safety prevents it. Sections that by their nature should survive (such as customer information, disclaimers, liability and indemnity) continue after these terms end.
11.Disclaimers
To the extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, including fitness for a particular purpose. You are responsible for checking that your programme suits your business and complies with the law.
12.Limitation of liability
To the extent the law allows, Safyah Solutions is not liable for lost profits, revenue, goodwill or data, or for indirect or consequential losses, and our total liability for all claims relating to the Service in any 12 months is limited to the subscription fees you paid for it in those 12 months. This does not limit liability that cannot be limited by law.
13.Indemnity
You will cover Safyah Solutions's reasonable losses and costs from claims by your customers or others arising from your programme, your rewards, your content, or your breach of these terms or the law.
14.Changes to these terms
We may update these terms. We will post the new version here with a new date and, for significant changes, tell business owners in the app or by email at least 14 days before they take effect. Continuing to use the Service after that means you accept them; if you don't, cancel your plan and stop using it.
15.Governing law
These terms are governed by the laws of Saint Vincent and the Grenadines, and its courts have exclusive jurisdiction over any dispute about them.
